INVESTOR SUITABILITY

Investors Prime Fund’s licensing allows the Fund to grow to a limit of 500 individual investors or $250 million in capital. After that the Fund will close to new investors, however the Fund will continue to operate indefinitely with its capitalization and business model. Fund participation is limited to California residents who meet certain income and net worth standards. Minimum investment is $25,000 with restrictions on withdrawal. Each investor must have either (a) a net worth (exclusive of home, furnishings and automobiles) of at least $250,000 and an annual income of at least $65,000; or (b) a net worth (exclusive of home, furnishings and automobiles) of at least $500,000. An investment in the Fund is subject to certain risks which are outlined in the Fund’s Offering Circular.
